Terms of Service

These Terms of Service ("Terms") govern your use of ChaseNudge ("Service", "we", "us", "our"), operated by ChaseNudge. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

ChaseNudge is a proposal follow-up automation tool. Users connect their email account (Gmail or Outlook) via OAuth, create proposals, and schedule automated follow-up emails sent from their own email address. The Service includes email open tracking via an embedded tracking pixel and a dashboard to monitor proposal engagement.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements. The Service is intended for business use by freelancers, agencies, and professionals.

3. Account Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at adam@chasenudge.com if you suspect unauthorised access.

4. Free and Paid Plans

Free plan: Up to 3 active proposals with automated follow-ups. No credit card required.

Pro plan: €29/month, billed monthly via Stripe. Unlimited proposals and follow-ups. Your subscription renews automatically each month unless cancelled.

Prices are displayed inclusive of applicable taxes. We reserve the right to change pricing with 30 days' notice.

5. Right of Withdrawal & Cancellation

Under the EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your subscription within 14 days of purchase without giving any reason. To exercise this right, email us at adam@chasenudge.com or use the cancellation button in your billing settings.

If you have used the Service during the withdrawal period, we may charge a proportionate amount for the service provided up to the point of cancellation.

After the 14-day withdrawal period, you may still cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.

You can cancel directly from your billing settings at any time. Cancellation is as easy as signing up.

6. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You must not use ChaseNudge for spam, unsolicited bulk email, or any unlawful purpose. We reserve the right to suspend or terminate accounts that violate these rules.

7. Email Tracking

Follow-up emails sent through ChaseNudge may contain a tracking pixel (a small, invisible image) that records when the recipient opens the email. This data is used solely to inform you whether your proposal has been viewed. See our Cookie & Tracking Policy and Privacy Policy for full details. You are responsible for ensuring that your use of email tracking complies with applicable laws in your jurisdiction, including obtaining any required consent from recipients.

8. Intellectual Property

All content, code, design, and trademarks of ChaseNudge are owned by us. You retain full ownership of your proposals, email content, and client data. We do not claim any rights over your content and will not use it for any purpose other than providing the Service.

9. Data & Privacy

We process personal data in accordance with our Privacy Policy. By using the Service, you acknowledge and agree to the data processing described therein. When you input client email addresses and send follow-ups, you act as the data controller for your clients' data, and ChaseNudge acts as a data processor on your behalf.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss arising from scheduled or unscheduled downtime.

11. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

  • Our total aggregate liability for any claims arising from your use of the Service is limited to the total fees paid by you in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded under applicable law (including GDPR obligations).

12. Indemnification

You agree to indemnify and hold ChaseNudge harmless from any claims, damages, or expenses arising from your misuse of the Service, violation of these Terms, or infringement of any third-party rights, including sending unsolicited or unlawful emails via the Service.

13. Account Termination

We may suspend or terminate your account if you breach these Terms or the Acceptable Use Policy. Upon termination:

  • All scheduled follow-ups will be cancelled immediately.
  • You may request an export of your data within 30 days of termination by emailing adam@chasenudge.com.
  • After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or via a notice on the Service at least 30 days before the changes take effect. Continued use of the Service after such notice constitutes acceptance of the updated Terms.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of Ireland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland, without prejudice to any mandatory consumer protection provisions of your country of residence within the EU/EEA.
